2. Business customers and trade accounts

We supply goods only to customers purchasing in the course of their trade, business, craft or profession, for delivery within the United Kingdom. By ordering, you confirm that you are acting for a business and have authority to bind it. We do not offer consumer sales through our trade shop. Nothing in these terms removes rights that cannot lawfully be excluded if a transaction is nevertheless a consumer transaction.

Trade access is subject to our approval. Account approval does not guarantee acceptance of any particular order, discount or credit facility. Please provide accurate company, contact, billing and delivery details, keep them up to date and protect your login credentials. Notify us promptly of suspected unauthorised use. We may suspend access where reasonably necessary to investigate misuse, protect account security or address a material breach; this does not remove rights relating to existing orders.

3. Orders and contract formation

Product listings and quotations are invitations to order, subject to availability. An order is your offer to purchase. An automated acknowledgement or payment receipt confirms receipt only. We accept an order when we expressly confirm acceptance or dispatch the goods, whichever occurs first.

Please check the product code, quantity, pack size, colour, sheen, required compatible components and delivery address before ordering. Tell us promptly about errors. We will not substitute a product or change an accepted order's price without your agreement.

If we cannot accept or fulfil an order, we will explain and refund payments for the unfulfilled goods and associated unused delivery charges. An obvious listing or pricing error will be referred to you before acceptance; you may accept the corrected offer or cancel for a refund. Changes to these terms apply to future contracts only. A specific written variation agreed by authorised representatives takes precedence over conflicting wording in these terms. Terms on your purchase order or other documents do not amend this agreement unless we expressly accept them in writing. Keep a copy of the applicable terms and order confirmation for your records.

4. Prices, VAT and payment

Prices are in pounds sterling and exclude VAT unless expressly stated otherwise. VAT at the applicable rate and any agreed delivery charge will be identified before you commit to the order.

Unless separate credit terms have been expressly agreed in writing, full payment is required when ordering and before dispatch or collection. Payment methods are those offered at checkout or agreed in writing. A trade account does not itself provide credit. Any separately agreed credit arrangement governs its own payment dates. Where legally applicable, we reserve statutory rights to interest and recovery costs for overdue business debts.

We will not add an unapproved delivery charge after you order. If a destination requires a quotation, contact us before completing the purchase. If an order is received without an agreed delivery arrangement, we will contact you to agree it; you may decline the quotation and receive a refund for goods not dispatched or specially prepared with your prior agreement.

5. Delivery and collection

Free local delivery is available only to the London postcodes included in our current delivery area. A London address alone does not guarantee free delivery. Eligibility must be confirmed through the postcode options at checkout or directly with us.

Delivery to other UK postcodes is by individual quotation and prior arrangement. Availability, charges and lead times depend on destination, order size and transport requirements, including any restrictions for hazardous goods. We do not offer delivery outside the United Kingdom under these terms.

Delivery dates are estimates unless we expressly agree a firm date in writing. We will notify you of material delays and discuss a revised arrangement. If we cannot deliver within a reasonable time, contact us to resolve the order, including cancellation and refund where appropriate.

Provide an accurate address, safe access and a suitable person to receive the goods. Tell us beforehand about access or unloading restrictions. Any reasonable redelivery or special handling cost caused by missing or incorrect instructions will be explained and agreed before it is incurred. No unattended delivery will be made without your agreement.

Collection from our trading premises is available by prior agreement once we confirm that the order is ready. Your vehicle and handling arrangements must be suitable and lawful for the goods concerned. Risk passes when the goods are delivered to you or your nominated recipient, or handed over on collection. Ownership passes when we receive full payment for those goods. Until ownership passes, keep unpaid goods identifiable, in suitable storage and adequately insured, and do not pledge them as security. If payment is overdue, we may request return of unused goods to which we retain title; recovery must be by agreement or lawful process, without unauthorised entry. This does not itself grant permission to resell unpaid goods or extend credit.

6. Product selection, application and safety

Our products are intended for professional use. Follow the current manufacturer's Technical Data Sheet, Safety Data Sheet, label and applicable workplace safety requirements. Obtain the relevant documents before use; contact us if you cannot locate them.

Use the specified compatible hardener, thinner and mixing ratio. Observe substrate preparation, pot life, storage, ventilation, protective equipment and application conditions. Do not mix systems or components unless their compatibility has been confirmed. Carry out an appropriate test on the actual substrate before full application. A test does not remove our responsibility for defective or misdescribed goods or negligent advice.

Tell us before ordering about any special purpose, substrate or performance requirement on which you intend to rely. Fire resistance, exterior durability or other specialist performance must not be assumed unless the relevant system and supporting documentation expressly cover the intended use. General website information is not a project-specific specification.

Store and dispose of coatings, solvents and associated materials in accordance with their safety information and applicable law. Do not send hazardous goods back using an unsuitable carrier.

7. Colours, sheen and specially prepared goods

Screen images and printed colour references are indicative. Lighting, substrate, application and batch variation can affect appearance. Where an exact match is important, agree a physical reference and approve a sample before full production. Check colour and sheen before applying to the main project and retain batch details.

Products tinted, colour-matched, mixed or otherwise specially prepared to your instructions cannot normally be cancelled or returned for a change of mind after preparation has begun. This restriction does not apply where goods are defective, incorrectly supplied or do not match the agreed specification.

8. Inspection, shortages and complaints

Inspect deliveries as soon as reasonably practicable. Record visible transit damage or shortages with the driver where possible and notify us promptly, preferably within two working days, with your order number, product and batch details and photographs. This notification target is not an automatic loss of rights, particularly for hidden defects or issues that could not reasonably have been discovered earlier.

If a product appears defective or unsuitable, stop using the affected material where safe, keep remaining material and packaging, and contact us promptly. We may request reasonable information or samples and arrange an inspection or manufacturer assessment. We will investigate and agree an appropriate remedy in accordance with the contract and applicable law, which may include replacement, repair where appropriate, or refund. Manufacturer involvement does not replace our responsibilities as your seller.

9. Cancellation and returns

Business purchases do not carry a general consumer cooling-off right. Contact us promptly if you wish to cancel or change an order. Before dispatch or special preparation, we will consider the request and explain any unavoidable, reasonable costs already incurred before agreeing the cancellation.

For correctly supplied standard goods, change-of-mind returns require our prior written agreement. We will confirm eligibility, timescale, condition requirements, transport arrangements and any reasonable handling charge before you agree to return them. No standard restocking percentage is imposed by these terms. Opened, used, expired or improperly stored goods will not normally qualify for discretionary returns.

For faulty, misdescribed or incorrectly supplied goods, contact us for safe return or collection instructions. We will bear reasonable agreed return costs where we are responsible. Do not return hazardous goods without agreed transport arrangements. These discretionary return restrictions do not limit your legal remedies for breach of contract.

10. Liability

We remain responsible for supplying goods that comply with the contract and applicable legal requirements. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, defective title, or any liability that cannot lawfully be excluded or limited.

Subject to those protections and only to the extent lawful and reasonable, we are not liable for indirect or consequential loss. This is not a blanket exclusion of direct, reasonably foreseeable losses caused by our breach. We are not responsible for loss to the extent caused by incorrect storage, incompatible mixing, misuse or failure to follow applicable instructions, except where attributable to our own breach or negligent advice.

You must take reasonable steps to mitigate loss, including stopping affected application when a problem is reasonably apparent and giving us a reasonable opportunity to investigate. You must not incur remedial expenditure on our behalf without our prior written agreement, except where reasonably necessary to prevent injury, property damage or further loss. This does not remove any liability we otherwise have for recoverable losses. Technical assistance or a manufacturer referral does not create a guarantee beyond any express written commitment or applicable law.

11. Events beyond reasonable control

If an event beyond our reasonable control prevents or delays performance, we will notify you and take reasonable steps to reduce its effects. We will discuss revised arrangements. This does not permit us to retain payment indefinitely for goods we cannot supply; where fulfilment is no longer reasonably possible, the unfulfilled part may be cancelled and the appropriate payment refunded.

12. Website, privacy and general provisions

Website content, photographs, logos and trademarks remain the property of their respective owners. Access does not grant a right to reproduce them commercially without permission. Personal information is handled as described in our separate Privacy Policy.

If a provision is unenforceable, the remaining terms continue to apply. A delay in enforcing a right does not waive it. No third party is intended to acquire enforcement rights under this contract. These terms and the accepted order record the agreement, without excluding liability for fraud or rights that cannot lawfully be excluded.

These terms and disputes arising from them are governed by the law of England and Wales. Subject to any mandatory applicable rules, the courts of England and Wales have exclusive jurisdiction. Please first raise complaints at info@capitalcoatingsgroup.co.uk so we can try to resolve them promptly.
